Service Terms & Conditions

These Terms of Service (“Terms”) govern your use of services provided by EDUNEX, Ward 15, Phulwari Sharif, Patna, Bihar 801505, including all software, technical, digital marketing, and compliance filing engagements. By requesting, accessing, or continuing to use our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By engaging EDUNEX, you confirm that you are legally authorized to act for yourself or your organization and accept these Terms in full. If you do not agree, you must not use our services. Any separate proposal, work order, or service agreement is read together with these Terms; in case of direct conflict, the signed service agreement governs for that project.

2. Description of Services

EDUNEX provides the following categories of services:

• Software and digital services: custom software development, billing systems, software support, implementation consulting, maintenance, and related technical services.
• Compliance and filing services: GST, FSSAI, and other statutory or business compliance filing support for SMEs, including preparation and submission assistance based on client-provided records.
• Digital marketing services: campaign strategy, creative and performance support, and reporting as mutually agreed.

Exact scope, timelines, deliverables, and fees are defined in the applicable quotation, proposal, or contract.

3. Client Obligations

You agree to cooperate with EDUNEX and specifically to:

• provide complete, true, and accurate documents and information, including PAN, GST, Aadhaar, bank details, business registrations, invoices, and supporting records, as applicable to the service.
• provide timely responses, approvals, and clarifications so project and filing timelines can be met.
• remain responsible for consequences arising from incorrect, incomplete, or delayed submissions by the client.
• acknowledge that delays, outages, rejections, or processing timelines on government portals are outside EDUNEX control.

4. Data Processing Agreement (DPA)

For delivery of contracted services, EDUNEX may process client and authorized representative data/documents such as PAN, GSTIN records, Aadhaar details, business registration certificates, tax and invoice records, authorized signatory details, and filing credentials shared by the client.

• Purpose limitation: processed only for service delivery, legal compliance, and agreed support tasks.
• Storage and security: stored using reasonable technical and organizational safeguards, including access controls, restricted authorization, and secure storage practices.
• Retention period: retained for three (3) years after project completion unless a longer period is required by law or an active dispute.
• Data sharing: we do not sell or share client documents with third parties, except where submission to government portals or lawful authorities is required to perform the contracted service.

5. Payment Terms

• Project-based engagements: billed by milestone or fixed-fee schedule as stated in the proposal or invoice.
• Monthly retainer engagements: billed in advance or as agreed in writing; unused hours or services do not roll over unless expressly stated.
• Late payments: overdue amounts may attract late fees/interest of up to 1.5% per month (or maximum rate permitted by law), and EDUNEX may pause services until dues are cleared.
• Refund policy: once any government filing/application has been submitted, fees for that filing service are non-refundable. Work already completed in software/marketing projects is also non-refundable.

6. Intellectual Property

For custom software developed specifically for a client, final deliverables are assigned to the client upon full and final payment of all invoices for that engagement, unless otherwise agreed in writing. EDUNEX retains ownership of pre-existing tools, frameworks, templates, methods, and any non-client- specific reusable code, libraries, know-how, and generic components used to build deliverables.

7. Limitation of Liability

EDUNEX is not responsible for delays, downtime, technical errors, or processing outcomes caused by government departments, statutory portals, or third-party systems outside our control. To the maximum extent permitted by law, EDUNEX's total liability for any claim arising from a specific service is limited to the amount actually paid by the client for that specific service.

8. Indemnification

You agree to indemnify and hold harmless EDUNEX, its proprietors, employees, and representatives from claims, penalties, losses, liabilities, and costs (including reasonable legal expenses) arising out of: (a) false, inaccurate, or unauthorized documents supplied by you; (b) your breach of these Terms; or (c) your violation of applicable law or third-party rights.

9. Termination

Either party may terminate an ongoing engagement by written notice if the other party materially breaches agreed terms and fails to cure within a reasonable period. EDUNEX may suspend or terminate services immediately for non-payment, unlawful use, or risk to legal/compliance obligations. On termination, the client must pay for all work performed and expenses incurred up to the termination date.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to the dispute resolution clause below, courts in Patna, Bihar shall have exclusive jurisdiction.

11. Dispute Resolution

In the event of any dispute, parties shall first attempt to resolve the matter through good-faith discussion and mediation. If mediation does not resolve the dispute within a reasonable period, either party may initiate proceedings before competent courts in Patna, Bihar.

12. Changes to Terms

EDUNEX may update these Terms from time to time. Material changes will be notified with at least thirty (30) days' prior notice by website update or direct communication where feasible. Continued use of services after the notice period constitutes acceptance of revised Terms.
